1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of the LandTrustX™ website, platform, mobile applications, and related services operated by Vara, LLC dba LandTrustX™ (“LandTrustX,” “we,” “our,” or “us”). By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the platform.

2. Platform Overview

LandTrustX™ is an equity marketplace that enables homeowners and investors to buy, sell, and manage ownership shares in real estate through trust- and entity-based structures. We offer tools for onboarding properties, conducting identity verification, managing distributions, and facilitating secondary share transfers.

LandTrustX™ is not a broker-dealer. All securities-related activity occurs under compliant Regulation CF and Regulation D offerings conducted through authorized intermediaries.

3. Eligibility

• Be at least 18 years old
• Have full legal capacity
• Not be barred from using financial or securities platforms
• Complete KYC/AML verification
• Agree to all offering documents associated with any investment you participate in

4. Account Registration

When creating an account, you agree to:

• Provide accurate personal information
• Maintain the security of your login credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

We may suspend or terminate accounts violating our policies.

5. Real Estate Share Offerings

Each property on the platform is structured through a trust or LLC that issues equity shares. These shares represent ownership interests and carry risks, including loss of principal.

You acknowledge:

• Investments are not guaranteed
• Past performance does not predict future results
• You must review each offering’s disclosures before investing
• You are solely responsible for your investment decisions

6. Prohibited Activities

Users may not:

• Misrepresent identity or financial status
• Circumvent platform fees
• Manipulate share pricing or trading
• Misuse platform data
• Engage in any unlawful, fraudulent, or abusive conduct

Violations may result in suspension or permanent removal.

7. Fees

LandTrustX may charge fees for:

• Property onboarding
• Investor onboarding
• Share purchases or sales
• Transaction processing
• Distributions

All fees will be disclosed before you authorize a transaction.

8. Payment & ACH Authorization

If you connect a payment method or ACH account, you authorize LandTrustX and our processors to initiate debits and credits, verify your bank account, process investment transactions, and withhold fees when applicable. You agree to maintain sufficient funds for all transfers.

9. Distributions

Cash distributions are made based on:

• Ownership percentage
• Platform performance
• Property performance
• Tax allocations

Distributions may pause or vary based on property operations or regulatory requirements.

10. SMS Terms of Service

LandTrustX uses Twilio short codes for verification and updates.

Program Description

You may receive SMS messages for account verification, security alerts, onboarding steps, investment updates, optional promotional messages, and customer support notifications. Message frequency varies.

11. Intellectual Property

All platform content, branding, and technology are the property of Vara, LLC. You may not copy, distribute, reverse-engineer, or exploit any portion without permission.

12. Third-Party Services

The platform uses third-party providers for KYC, payments, SMS, analytics, and hosting. Use of the platform constitutes consent to share data with these providers solely for operational purposes.

13. Disclaimers

LandTrustX is provided “as is.” We do not guarantee:

• Continuous uptime
• Accuracy of property valuations
• Liquidity of shares
• Future distributions
• Tax outcomes

Investing in real estate shares involves significant risk.

14. Limitation of Liability

To the maximum extent permitted by law, LandTrustX is not liable for damages arising from platform use, investment losses, data or service interruptions, or unauthorized access to your account. Your sole remedy is to discontinue use of the platform.

15. Indemnification

You agree to indemnify and hold harmless Vara, LLC, its officers, employees, and partners from claims arising out of your use of the platform, your investments, or your violations of these Terms.

16. Governing Law

These Terms are governed by the laws of the State of Wyoming.

17. Dispute Resolution — Arbitration

Disputes shall be resolved through binding arbitration, not court litigation, except claims eligible for small claims court. You waive any right to a jury trial or class action.

18. Modifications

We may update these Terms at any time. Continued use of the platform indicates acceptance of the revised Terms.
